| 内容記述 | Most firms in Japan are faced with the business risk of hostile acquisitions like in the cases of Sotoh and Yushiro. In the past, Japanese firms were mainly owed by their banks and now it has dramatically changed. The recent hostile acquisitions have the following issues: effectiveness of corporate governance, disclosure information, and accountability for stockholders. Actually, Martin & McConnell [1991] examined that the hostile acquisition isuseful for the governance of the management whose firms have the bad result of operation. This paper considers the effect on the developing disclosure information by Japanese firms for effective corporate governance after the increase of hostile acquisitions. | |||||||
